The DealReview Free Deal Assessment is preliminary acquisition decision-support, based on the information you supply. This page sets out clearly what that does and does not mean.
What the assessment is
The Deal Assessment is a structured diagnostic. It examines an acquisition opportunity across five dimensions — financial quality, valuation and deal economics, commercial and customer risk, operational and management dependency, and transaction readiness — and produces a preliminary analysis of where further validation is required.
Its purpose is to help a buyer decide where to concentrate attention, and to give them a defensible basis for the questions they ask next.
What it is not
The assessment and any report generated from it are not:
- due diligence
- an audit
- a formal valuation
- a fairness opinion
- legal advice
- tax advice
- investment advice
- regulated financial advice
- accounting advice
- lending advice
- a recommendation to acquire or to reject a business
We do not verify what you enter
DealReview does not independently verify the information entered into the automated assessment. Figures such as turnover, EBITDA and asking price are used exactly as you provide them, and any implied multiple shown is indicative only.
The output reflects your answers. It cannot identify a risk you have not indicated, and it cannot correct an answer that is inaccurate or optimistic.
Scores and indicators
Category scores, the overall classification, any implied multiple, risk flags, suggested seller questions and information requests are analytical indicators only. They describe how much validation appears to remain, based on the answers given.
They are not a rating of the business, a prediction of performance, or a statement of fact about the target.
What a result does not tell you
A favourable or lower-risk result does not mean a business is suitable to acquire. A higher-risk result does not mean a business should not be acquired. Historical financial performance does not guarantee future performance.
No outcome, valuation, funding availability, transaction completion or future business performance is guaranteed.
The decision is yours
The correct response to a result may be to seek further information, revise the structure or the price, commission specialist diligence, renegotiate, or take another course entirely. That judgement rests with the buyer and their advisers, not with the assessment.
Detailed Deal Review
A Detailed Deal Review provides more extensive independent analysis where it is separately engaged and scoped. It does not replace legal, tax, accounting or other specialist due diligence unless that is expressly included in the agreed scope.
Professional advice
You should obtain appropriate professional advice from a qualified accountant, solicitor and tax adviser before completing an acquisition.
