These terms govern your use of the DealReview website and the Free Deal Assessment, and the reports generated from it. By using the site you accept them.
About these terms
These are website terms. They cover the DealReview website, the Free Deal Assessment and the automated report produced from it.
A paid Detailed Deal Review is a professional engagement. It is governed by separate engagement terms agreed for that work, as explained in section 6 below, and not by these terms alone.
If you do not accept these terms, please do not use the site.
The DealReview service
The site provides:
- the Free Deal Assessment — a structured preliminary assessment of an acquisition opportunity
- automated diagnostic analysis — weighted category scores, an overall classification and rule-based issue flags, produced from your answers by configured scoring rules
- a result and a report that you can view and download
- suggested seller questions and information requests, based on the flags your answers raise
- a question facility, so you can ask about a result
- an enquiry route for a Detailed Deal Review
Free of charge, with no account
The Free Deal Assessment is provided free of charge. No payment is taken anywhere on this site, and no account, sign-in or password is required to complete the assessment or to view the result. No user account is created for you when you complete it.
Your result is reached through a unique reference rather than a login. Please keep that reference: it is the only route to your result and report, and we cannot recover it if it is lost.
A separate administrative area exists for DealReview staff. It is not available to the public.
Information you supply
You are responsible for the information you provide. You should only provide information you reasonably believe to be accurate and that you are entitled to disclose.
The analysis, scores and findings depend entirely on your answers. If an answer is inaccurate, incomplete or optimistic, the output will be affected accordingly and may understate risk.
You must not submit:
- material obtained unlawfully, or information you have no right to disclose
- personal information about other people that you are not entitled to provide
- confidential or highly sensitive transaction documents through fields that are not intended for them — the message fields are not a secure channel for documents, and the current version of the service has no document upload facility
- malware, or any content intended to disrupt the site or the service
Acceptable use
You must not submit automated or bulk requests, attempt to retrieve a result that is not yours, probe or interfere with the security or operation of the site, or use the service in any way that is unlawful.
The Free Deal Assessment
The Free Deal Assessment is preliminary decision-support information. It is designed to help you decide where to concentrate attention, and to give you a defensible basis for the questions you ask next.
It does not:
- verify the target's financial information
- constitute due diligence
- audit or investigate the target
- independently confirm any representation made by a seller, a buyer or an adviser
- provide a recommendation to buy, sell, decline or finance a business
Detailed Deal Review
A Detailed Deal Review is a professional service, separately scoped for each transaction. No price is published, because the work required varies materially between opportunities.
Requesting a review does not itself create an engagement, and does not oblige you or DealReview to proceed. Scope, information requirements, timing and fee are agreed individually and confirmed in writing. A professional engagement begins only when that scope is expressly agreed by both parties.
A Detailed Deal Review is not legal due diligence, tax advice, an audit, or a substitute for regulated professional advice where required, and it does not provide an opinion on whether a price is fair or reasonable. Specialist accounting, tax, legal or regulatory advice may still be necessary, and a review does not remove the need for it.
Reports and permitted use
You may:
- keep the report generated from your assessment
- use it internally to evaluate your opportunity
- share it with your own advisers, lenders or co-investors
Use that is not permitted
You may not:
- resell the report, or republish it commercially
- copy the DealReview methodology, question structure or scoring model for competing or commercial use
- scrape, harvest or extract content from the site by automated means
- present the automated output as formal due diligence, an audit or a formal valuation opinion
Intellectual property
The DealReview name, brand assets, assessment methodology, question structure, scoring model, report layouts, written content and the software behind the site are owned by DealReview and protected by copyright and other rights.
You keep ownership of the information you submit. You grant DealReview the limited permission needed to store and process that information in order to provide the service you have asked for — producing your result and report, responding to your enquiry, and maintaining the records described in the Privacy Notice.
Availability and changes
The free assessment is provided on an 'as available' basis. We may change, suspend or withdraw any part of the site at any time, including the assessment questions, the scoring configuration and the report layout.
We may update the methodology as we refine it. Results are not guaranteed to be identical to those produced by an earlier version, and a result you hold may not reproduce exactly if the underlying methodology has changed since it was generated.
Third-party links and services
The site may link to third-party websites. We do not control those websites and are not responsible for their content or their practices. Their own terms and privacy notices apply to them.
Liability
Nothing in these terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for fraud, for death or personal injury caused by negligence, and for any other liability that cannot be excluded under applicable law.
Subject to that:
- you should not rely on the automated assessment as your sole basis for completing an acquisition
- DealReview cannot guarantee the completeness, accuracy or reliability of information supplied by you or by any third party
- DealReview does not guarantee any transaction outcome, any level of future business performance, the availability of finance, or any valuation or price
- the assessment and its report are provided for decision-support, and any decision to proceed, renegotiate or withdraw is yours
Liability for a Detailed Deal Review
Where a Detailed Deal Review is commissioned, the liability provisions for that engagement are set out in the written scope agreed for it, which takes precedence over the previous section in respect of that engagement.
Suspension and misuse
We may restrict or suspend access to the site where we reasonably believe it is being used for abuse, security attacks, scraping, automated bulk requests or any unlawful purpose, or in a way that interferes with the service.
Governing law and jurisdiction
These terms are governed by the laws of Scotland, and the courts of that jurisdiction have exclusive jurisdiction over any dispute arising from them.
Changes to these terms
We may amend these terms. The version in force is the one published on this page, and the date at the top shows when it was last updated.
